Use the Illinois Secretary of State Office’s CyberDrive System to Search Business Entities By Name or Filing Number. The Database contains all the Corporations and Limited Liability Companies (LLC) that are registered in Illinois.

Step 1 – Go to the Illinois Secretary of State.

Step 2 – Use this tool to search for any corporation that exists in the State of Illinois. You may search the database either by name or by filing number. If you preform a search by name you want to be as detailed as possible as the results will be all words containing the terms you enter. Once you have decided on the keywords you may start.

Step 3 – You will see a list of all the entities matching your keyword terms as well as the Filing Numbers. If there are more results than you would like to sort through you may go back and add more terms.

Select from the list to proceed to the next step.
Step 4 – Now you have reached the completion of the search at the Corporation Details Page. Here you may see all the data of the entity including: Status, Incorporation Date, Registered Agent Name and Address, Directors, Officers, and Managers.

How to Create a Corporation in Illinois

Step 1 – Download one of the Articles of Incorporation forms below or you may fill it out online.

Close – Maximum of 35 Shareholders
Domestic ProfitMost Popular – For all profit corporations with a principal office address located in Illinois.

Foreign Profit – For corporations located outside of the State that seek to do business within Illinois.

Step 2 – If filing online, you will be required to pay the filing fee at the end of the session. If making a paper filing, enclose the fee (see on form) and send to the Secretary of State’s office located at:

After receiving your completed corporation in the mail (10 to 12 business days), you may want to apply for an EIN Number (Tax ID) from the IRS. This will allow you to make a bank account in the name of your entity.

Step 2 – As you can see in the image above, you can search the CyberDrive system by name, keyword, partial word, or by filing number. Type in as many keywords as you can to provide you with the best results possible as the database will pull all companies that contain the terms entered. For our example, we will be typing in ‘illinois’.

Step 3 – Seeing as our term was extremely broad we ended up with thousands of results. In the results list the Secretary of State gives us a preview of the entity name and file number. Scroll down and select the LLC you were looking for and for our example we will be clicking on the top result.

Step 4 – Now you are able to view all the details of the company on file with the Secretary of State including: Status, File Date, Registered Agent Name, Registered Agent Address, Annual Report Filing Date, Type of LLC, State of Formation, Management Type, Duration, and if it is a Series.

How to Create an Illinois Limited Liability Company

Step 1 – Download or fill out online the Articles of Organization.

Domestic – Most Popular – Allows an applicant to create a company if there is a principal place of business in Illinois.
Domestic Series – A Series allows for a company to have one entity registered with the Secretary of State, but may have separate divisions that offer legal protection so that one asset (such as real estate) may not legally expose another.
Foreign – Allows a company that exists outside of Illinois and is able to conduct business transactions after successful incorporation.

Step 2 – If filing online, pay the required filing fee ($600 for standard, $850 for series) at the end of the session.
If you are doing a paper filing, enclose a check for $500 for standard, and $750 for a series to be payable to the Illinois Secretary of State and mailed to:
